HOUSTON, Dec. 3, 2015 /PRNewswire/ -- Group 1 Automotive, Inc. (NYSE: GPI) (the "Company"), an international, Fortune 500 automotive retailer, today announced the pricing of its private placement of $300 million in aggregate principal amount of its 5.250% senior unsecured notes due 2023 (the "Notes"). The offering size was increased to $300 million from $250 million. The offering is expected to close on December 8, 2015, subject to customary closing conditions.
The Company intends to use the net proceeds from the offering to repay amounts outstanding under the acquisition line of its revolving credit facility, to make a contribution to its floorplan offset account and for general corporate purposes.
The Notes have not been, and will not be, registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws, and thus, the Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
